Understanding Costa Rican Law: Guidance for Foreign Investors and Retirees.

Today, we are privileged to have Licenciado Casimiro Vargas (Lawyer and Notary Public) of CV Firm which has more than 60 years of experience helping their clients to successfully navigate the intricacies of Costa Rican Law. Taking full advantage of his expertise, we will look for answers to some of the most frequently asked questions by those individuals who are seeking to retire, relocate or invest in Costa Rica.
Lic. Vargas, probably the most frequently asked question is regarding the Judicial system that is in place and how solid and secure it is. Also, if a fo reign national can acquire pro perty and have all the same rights and legal security as a permanent resident or a citizen of Costa Rica? Yes, the judicial system in Costa Rica is safe and solid. Unfortu nately, as in any country, many things are not resolved in a ma tter of weeks or months as one would like due to the Court’s wor kload of pending matters, but in principle, the decisions that the Judiciary makes can be trusted. And as for the second part: The Constitution of Costa Rica indica
tes in the first section of article 19 the following: “Article 19.- Foreig ners have the same individual and social duties and rights as Costa Ricans, with the exceptions and limitations that this Consti tution and the laws establish.” These exceptions refer mainly to political matters (participating in elections, etc.) and to some li mitations such as the possibility of acquiring land within what is known as the Maritime Terrestrial Zone (200 meters from the high tide line in the oceans and other similar situations). However, they can be purchased if they have been legally residing in Costa Rica for 5 years. There are some other laws such as those that prevent foreigners from applying for social welfare houses or pro
grams to help struggling farmers and others in similar conditions, but these are options that nor mally aren’t in the realm of inte rest for foreigners. In general, it can be said that fo reigners can acquire property in Costa Rica with complete assu rance that their rights will be res pected and protected (since the constitution also guarantees the right to private property). Fur thermore, their other rights and the access to the justice system will also be respected. Unfortu nately, there are discriminatory people in every country, but it is rare in Costa Rica and uncom mon for a Judge or a public offi cial to discriminate against a foreigner. In fact, that would be illegal.

Related to that is the ques tion of what exactly does a foreign national require to proceed with the purchase of property or a business in Costa Rica and what are the steps to take to complete that purchase safely and effi ciently? Each land purchase in some respects is unique and may require different care and re search. Sometimes two pieces of land can be contiguous and have similar visual and phy sical conditions, but the legal situation of each one could be different. A property transfer and regis tration can only be done by a Costa Rican Notary Public who for these purposes is conside red as a kind of public title offi cer. Precisely because of this status as a public official, the Notary is obliged to advise the parties in an impartial and appropria te manner and take care of the interests of all parties. Howe ver, in practice it is still impor tant to ensure that you hire a Notary who particularly looks out for your interests. It is also important to use a recognized, responsible, we ll-prepared Escrow Agent with a good track record to help guarantee the security of the transaction. Due to anti-laun dering regulations and other rules against the financing of criminal activities, the Escrow Agent is required by law to re quest information and whoe ver provides the funds will have to provide proof of the origin of the funds and their destination. In addition, a good Real Esta te Broker who is prepared and responsible is important. Not only to help find the proper ty, but also to have a prelimi nary idea about whether the land could be suitable to you and if the purchase is secure. Obviously, this must be confir med later by your legal advisor or the Notary. The Broker has an important role that could help rule out properties from the start without having to in vest a lot of time and money in them. Not to mention that the
tions are suitable? Is this the same situation if a commer cial property is being acqui red such as a hotel, B&B or a tour related business for example? In the past a partnership was the best option. Normally a “Corporation Company” or “Limited Liability Company”. (Both are limited liability). Nowadays, and due to the in crease in the costs of annually maintaining a company, it is better to evaluate each speci fic case. In the case of a small property and in the name of a single person or two spouses, it could be better and cheaper to buy it in a personal name. For large or multiple-owned businesses or properties, a partnership may be better. But the matter must be asses sed individually with the res pective legal advisor. What is the best way for a fo reign national to open a bank account in Costa Rica and is it necessary to do so right or away or is it easier to just use an Escrow Company to hand le the transfer of capital to pay for property purchases? In general, each Bank has the discretion to decide who it opens an account to and what they will ask for it. Obviously, there are minimum require ments such as presenting a valid identification, but the Bank will not accept opening the account if it does not feel sufficient confidence in the person and that the account will be well used. The foreigner residing in Costa Rica should have no problem opening the account in his/her name. As for foreigners without residen cy, it is usually easier if they open a company and request the account in the name of that company, demonstrating that the company has roots in Costa Rica, such as a business, a property, etc. In some cases and depending on the use that will be given to the ac count, the Bank may request tax returns and/or accounting projections.
Broker usually has a good list of properties for sale to begin with. Once the property has been selected, a preliminary nego tiation is carried out with the seller to establish the basic terms of the purchase (althou gh others could later be intro duced when the legal advisor intervenes) and then a promi se of purchase contract (also known here as “SPA” or “Sale and Purchase Agreement”) is granted which must be draf ted by the Attorney or Notary. The Purchase conditions are put in writing and the parties undertake to celebrate the sale if, after completing due diligence, it is found that the conditions required by the purchasing party are met. Typically, this contract inclu des a period during which the buyer’s legal advisors will per form due diligence and con firm those conditions. Addi tionally, it is determined which Escrow Agent will be used and the buyer is obligated to make an initial deposit that will ulti mately be applied to the price (if the purchase is made) or re turned to the buyer if during due diligence it is determined that the land does not meet the requirements and condi tions required by the purcha sing party. Finally, I would like to empha size that good due diligence is essential to ensure that the property is what works for you. Although at first glance it may seem that way, there are many cases in which due diligen ce ultimately reveals that the property is not good for what you are looking for. And it is also essential to keep track of when the due diligence period expires, since usually before it expires the selling party must be notified if there were pro blems with due diligence. If such notification is omitted, you could be forced to pur chase the property or lose the initial deposit in favor of the selling party. Is a corporation the best choice for ownership of a re sidential property purchase and what types of corpora

What is the best choice for the type of residency that a foreign national should apply for from the various options offered? Would this vary depending on his goals, i.e. retiring and just buying a home to live in versus relocating to start a new busi ness versus buying investment property such as a vacation ren tal? Are there cases where if not li ving full time in the country it might be best to not acquire any type of residency? In Costa Rica there are several residency categories for which a foreigner could apply. (Investors, retirees, among others and each with different benefits and requi rements), however, not every fo reigner meets the requirements for all categories, so the most important thing is to have a pre vious interview with your attor ney to analyze which is the most favorable alternative for you. The categories to which a per son applies vary according to each person’s circumstances. If a person does not plan to live in the country continuously (ter ms of more than 6 months), he/ she could remain in the country without the need to apply for a residency, since they will be able to stay in Costa Rica for 6 months legally.
What would a foreign national require starting up a new bu siness in Costa Rica. What are the steps they would have to take to reach the point of esta blishing and opening the doors to a new business and what is the annual tax rate of profits? For most businesses, it is enou gh to obtain an operating permit issued by the Ministry of Health and a Municipal Patent (munici pal permit to operate). Additio nally, the business must register with the respective tax authority. Usually that is enough, but de pending on the type of business it may require additional permits: For example, to open a bank, a law firm, an accounting firm, a drugstore and the like, special additional permits are required. It is important to get legal advice to confirm it. What are the requirements and fees to temporarily bring a ya cht into Costa Rica? What are the taxes should one wish to nationalize such a vessel? To import a Yacht, the services of a Customs Broker are required, which is a government-licensed professional who advises on the best way to do it, what tax clas sification corresponds to paying the lowest taxes and/or to deter
mine if there is any exemption of taxes. As a lawyer it is not our normal area of business. One last question Lic. Vargas, on a more personal note, can you tell us a little about where you live and what you like the most about it and if it is a good area for a foreigner to consider for retirement, to relocate and raise a family, to start a new bu siness and to invest in general such as buying a vacation ren tal property? Well, I live in the city of San Isidro de El General, approximately 40 minutes from Playa Dominical. However, I work in that area and also in Uvita, Dominical and all the South Pacific Coast. Howe ver, our law firm (CVFIRM Attor neys) also provides legal services in multiple areas of the country. In my opinion, San Isidro and its surroundings are a good area, a very healthy place to raise a fa mily and it is also close to both mountainous and beach areas. The area of Dominical, Uvita and in general the South Pacific Coast is a good choice to start a busi ness and to make investments.

In Costa Rica, real estate agents aren’t required to be licen sed, leading to a mix of practices that can confuse buyers. A buyer’s broker acts as your advocate, focu a buyer—especially if you’re from abroad—can be daunting due to the unregulated nature of the industry, varying listing practices, and potential pitfalls like inaccu rate listings or dual agency.That’s where a dedicated buyer’s broker (also known as a buyer’s agent) comes in. W hat inspired your family to move from Germany to Costa Rica, spe cifically to the Bahia Ballena Uvita area, and when did you make this transition or did you live in another part of Costa Rica first? We felt that in Germany, our creativity, our love for nature, and our positive spirit were not truly seen or valued. Too often we encountered negativity that drained us, and we knew in our hearts that we needed something different. More than twenty years ago, we fell in love with Costa Rica — its pure nature, its people, its spirit of Pura Vida. Costa Rica gives us peace, joy, and the freedom to create, and we knew this was the place where our dreams and our art could truly grow. What were the biggest challenges you faced when adapting to life in Costa Rica, and how did you overcome them? Our biggest challenge was the mold. Making our own pro ducts that are impossible to mold motivated us at first. Our pieces are made from solid tropical hardwood, which is na turally very resistant to humidity. In addition, we treat each piece with linseed oil that penetrates deep into the wood, and then seal it with natural beeswax. This way, moisture cannot get deep into the wood. For cleaning, we recom mend simply washing with water and a bit of dish soap, and drying well – that’s all it needs. Another big challenge for us was adjusting to the slower rhythm of life here. In Costa
Rica, things don’t always happen right away — sometimes it’s tomorrow, or the day after tomorrow. Over time we lear ned to breathe, to let go, and to live without rushing. At the same time, we never lost our German roots — our love for precision, reliability, and getting things done is very much alive in our work. So while we embrace the spirit of Pura Vida in our daily lives, our art and our business still carry that German quality people can count on. Can you describe what your experience has been like living in the Osa Peninsula, parti cularly in term of its culture, natural surroun dings, and livestyle compared to Germany? Life on the Southern Pacific Coast could not be more diffe rent from life in Germany. Here, nature and wildlife are part of everyday life—so much that we constantly discover spe cies around our home in Uvita that weren’t even recorded for this area in wildlife books published just twenty years ago. This is living proof of what makes Costa Rica unique: it is the only country in Central America where the rainforest is not shrinking, but expanding year after year. That richness in biodiversity shapes our daily lives in ways that are both humbling and inspiring. Compared to the highly organized structure of Germany, life here feels more relaxed, deeply rooted in nature, and profoundly rewarding What was the process of launching your furni ture business like, especially in terms of sour cing local woods and learning to work with resin in Costa Rica’s climate? Launching the business was far from easy. In this humid climate, working with epoxy resin requires constant adap tation—trial and error, refining techniques, and developing ways to achieve stable, durable results. At the same time, we wanted to highlight the beauty of Costa Rica’s local hardwoods. Each piece is naturally unique, with extraordi nary grain patterns and strength, and by using wood avai lable right here, we ensure our work reflects both crafts manship and sustainability. Sustainability is at the heart of everything we do. We choose local woods that are availa ble without destructive logging, and we take inspiration from Costa Rica’s national success story: not just conserving fo rests, but actively allowing them to grow. Our philosophy is to honor natural resources, using them thoughtfully while creating pieces that last.
